Parties:

1. Wecker MP, s. r. o.,Husitská 107/3, Žižkov, 130 00 Prague, ID No.: 142 22 493, (hereinafter referred to as the "Operator")

 2. A person (natural or legal person) who has ordered services from the provider under the conditions set out below (hereinafter referred to as the "user").

Preamble

The following text constitutes a "contractual agreement", by agreeing to which the user of the SELIN Internet application undertakes to comply with the rules set out therein (hereinafter referred to as the "contractual agreement"). In the event of a breach of the contractual agreement by the user, the operator of the SELIN Internet application may apply the measures contained in these contractual agreements.

Subject of the contract

  • The subject of the agreement is the provision of a licence or sub-licence to use the SELIN application, which is an online service used to optimise sales on online marketplaces such as Amazon.com Kaufland.cz, etc., including optional components of the SELIN application, some of which may be created by external suppliers (hereinafter referred to as the "SELIN application").
  • The know-how contained in SELIN is part of a trade secret and is protected by copyright law.

Rights and obligations

  • The Operator, as licensor, hereby grants the User a license to use the SELIN application.
  • In the case of the use of optional components of the SELIN application created by third parties, the operator grants a sub-license, for which the same conditions apply as for the granting of the SELIN license.
  • The license is granted on a non-exclusive and royalty-free basis.
  • The user is not entitled to make the subject of the license available to third parties. This means that the User is not entitled to make the results of the use of the SELIN application available to third parties, to rent, lend or otherwise allow third parties to use the SELIN service, nor is the User entitled to make changes to or modify the application.
  • The User is obliged to use the SELIN Application in accordance with applicable law and these License Terms.
  • Technical errors, suggestions and comments on the functioning of the SELIN application can be sent by email to support@wecker.tech.
  • The operator acknowledges technical errors if the user reports them immediately after they occur. However, no later than 14 days after they occur.
  • The User acknowledges that the information entered may be provided to third party application developers in SELIN. Information about these applications is available at https://wecker.tech. The User acknowledges that the anonymised information entered may be used by the Operator for "machine learning" or other research, design and development of improvements to the SELIN application.

Payments

  • The price for using the SELIN application is specified in the price list available at https://wecker.tech/solutions/selin/.
  • The price for the use of the SELIN application is payable monthly in advance on the basis of an invoice sent by the provider to the user at the beginning of the period in which the licence is granted.
  • After agreement with the operator, the billing period can be extended to 12 months. In this case, the price for the use of the SELIN application is payable in advance on the basis of an invoice sent by the provider to the user at the beginning of the period in which the licence is granted.
  • The invoice is payable within 10 days of delivery. If the user finds discrepancies in the invoice, he is entitled to request its correction in writing by the due date at the latest.
  • Invoices will be sent to the contact email provided by the user during registration or to the billing email specified in the SELIN user account settings, on the domain https://selin.wecker.tech/.

Duration of the licence, termination of the licence

  • The licence is granted for an indefinite period.
  • The license may terminate by notice or unilateral termination.
  • The period of notice shall be one month and shall commence on the first day of the month following the month in which the notice is delivered to the other party.
  • The Operator has the right to terminate this Agreement and the provision of the license in the event of: failure of the User to pay the monthly license fee within 10 days after the due date,
  • violation of the terms and conditions by the user.
  • The User has the right to terminate the contractual relationship in the event of a breach of the contractual and license conditions by the Operator.
  • The user is not entitled to a refund of the fee or any part thereof.

Final and other provisions

  • This contractual arrangement and all legal relations arising from this contractual arrangement shall be governed by the applicable laws of the Czech Republic.
  • Any disputes arising from this contractual arrangement between the Provider and the User shall be resolved by agreement between the parties. In the event that no agreement is possible, the parties agree that the Municipal Court in Prague shall have jurisdiction to settle disputes.
  • The Provider reserves the right to change the license terms in the future. The Provider is obliged to notify the User of such changes.
  • The user uses SELIN at his/her own risk. The Provider shall not be liable for damages arising in connection with or as a result of the use of the SELIN application.


 These terms and conditions shall take effect on 1 July 2024.

 

INFORMATION ON THE PROCESSING OF PERSONAL DATA

Basic summary

Wecker MP, s. r. o. - the operator carries out the processing of the user's personal data as necessary for the performance of the contract (or for the implementation of measures taken prior to the conclusion of such contract), and also carries out the processing of the user's personal data necessary for the performance of the operator's public law obligations.

1. Identity and contact details of the administrators

  • The administrator of the user's personal data is the company Wecker MP, s. r. o., with registered office at Husitská 107/3, Žižkov, 130 00 Prague, ID No.: 142 22 493, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, File 362278 (hereinafter referred to as the "Administrator").

  • The controller has not appointed a data protection officer.

2. Legal basis for the processing of personal data

The legal basis for the processing of the user's personal data is the fact that this processing is necessary for:

  • the performance of a contract between the user and the controller or for the implementation of a measure by the controller prior to the conclusion of such a contract within the meaning of Article 6(1)(b) of Regulation 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (the "Regulation");
  • compliance with the legal obligations applicable to the administrator within the meaning of Article 6(1)(c) of the Regulation, in particular compliance with the obligations imposed on the administrator by generally binding legal regulations, in particular Act No. 235/2004 Coll., on value added tax, as amended, Act No. 586/1992 Coll., on income taxes, as amended, and Act No. 563/1991 Coll., on accounting, as amended.

3. Purpose of the processing of personal data

  • The purpose of the processing of personal data is the performance of a contract between the user and the controller or the implementation of measures by the controller before the conclusion of such a contract and the performance of related public law obligations by the controller.
  • There is no automatic individual decision-making by the controller within the meaning of Article 22 of the Regulation.

4. Period of storage of personal data

  • The user's personal data will be processed for the duration of the effects of the rights and obligations under the contract and for the period necessary for archiving purposes in accordance with the relevant generally binding legal regulations, but no longer than the period specified by generally binding legal regulations.

5. Other recipients of personal data

  • Other recipients of the user's personal data will be persons providing accounting and tax services for the controller in accordance with the controller's instructions (personal data processors), persons providing technical services for the controller, including software operation and data storage, and developers of applications for the controller's platform.
  • In addition, the recipients of the user's personal data for the performance of legal obligations may be tax authorities or other competent authorities in cases where the controller is required to do so by generally binding legal regulations.
  • The controller does not intend to transfer the user's personal data to a third country (to a country outside the EU) or to an international organisation, except for the transfer of personal data to the United States of America to Google for the use of Google Ads, to Meta for the use of Facebook.com and to Amazon

6. Rights of the data subject

  • Under the conditions set out in the Regulation, the user has the right to request access to personal data from the controller, the right to rectification or erasure of personal data or restriction of their processing, the right to object to the processing of personal data and the right to the portability of personal data.
  • If the user believes that the processing of his/her personal data has infringed or is infringing the Regulation, he/she has the right to lodge a complaint with the supervisory authority, among other things.
  • The user is not obliged to provide personal data. However, the provision of personal data is a necessary requirement for the conclusion and performance of the contract and without the provision of personal data, the contract cannot be concluded or performed by the controller.

7. User's obligations

  • The User declares that it complies with the privacy policy towards its customers and that it has informed them that their personal data may be disclosed to third parties.
  • The user is solely responsible for the amount of data that he/she enters into SELIN and acknowledges that after the processing of the entered data, this data is archived for a short period of time without any processing by the operator.


 These terms and conditions shall take effect on 1 July 2024.
